All drill pipes, drill collars, substitutes and other downhole equipment regularly in use shall be inspected as set forth in SCHEDULE "G" at Contractor's expense.
Contractor shall assume liability at all times, irrespective of the payment rate prevailing at the time, for damage to or destruction or loss of Contractor's and its Sub-Contractor's surface equipment, including without limitation all tools, machinery and appliances for use on or above the surface and any downhole equipment when it is above the surface, regardless of how such damage or destruction occurs, and Company shall be under no obligation to reimburse Contractor for any such loss, and Contractor shall defend, indemnify and hold Company and NIOC, Company Sub- Contractors, Affiliates of Company, and Co-Venturers of Company and of NIOC harmless from and against all such claims and demands; provided that in the event that Contractor's insurance underwriters serve Notice of termination in the event of war, whether declared or not, Contractor shall be entitled to Terminate this Contract with immediate effect, unless Company agrees to indemnify Contractor and Affiliates of Contractor against all damage and loss resulting from the continuation of the Contract without any insurance previously available as stated herein.
e) Caused as a result of failure of Contractor downhole equipment and following failure of Contractor to comply with the Planned Inspection & Maintenance system or procedures of Contractor regarding the failed equipment as presented to and approved by Company prior to Commencement Date.
The actual cost of compensation paid by Company to Contractor under this Article in the case of loss or damage, unless specifically stated in the terms and conditions for rental tools as specified in the Tender, shall, to the extent not compensated by Contractor's insurance, be the actual replacement cost of the equipment less depreciation of the lost or damaged drill string and/or downhole equipment or the actual repair.
